Terms and Conditions

These Terms and Conditions are a legally binding agreement between you and Syncle LTD (“Company”, “we”, “us”, or “our”) for access to nenory.ai, app.nenory.ai, api.nenory.ai, and the Nenory translation service (together, the “Site” and the “Tool”). We are registered in Israel. VAT number 515586378. Registered office: Haarad 3, Tel Aviv, IL. By using the Site you agree to these Terms. If you do not agree, do not use the Site. You must be at least 18 years old.
We may update these Terms by changing the “Last updated” date. Continued use after a change is acceptance of the revised Terms.
The service
Nenory is a translation workspace: text translation, file jobs, terminology glossaries, team accounts, billing, and an API. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Tool for your own personal or business translation needs, subject to these Terms.
You are responsible for the content you submit. You must have the right to translate that content. You must not use the Tool in a way that violates law, including data-protection and export rules.
Fees and payment
Usage is billed as described on the Site (redeem a welcome coupon for a one-time account credit where offered, then per-request and per-token charges, or other prices we publish). We may change prices. Payments may be in USD or ILS as selected on the billing account. You authorize us to charge the payment method on file. We may correct pricing errors. Unpaid invoices may pause translation.
Purchases are non-refundable except where Israeli consumer-protection law requires otherwise. Cancellation takes effect at the end of the current paid term. Questions: [email protected].
Intellectual property
The Site, software, design, and Nenory marks are our property or licensed to us. You receive no license except the limited right to use the Tool. You retain ownership of content you upload. We process that content only to provide the service, as described in the Privacy Policy.
User content
You are solely responsible for text, files, and terminology you submit. Do not submit unlawful material or content you are not authorized to process. We may remove material that burdens the service or violates these Terms. Feedback you send us may be used without compensation.
Prohibited activities
You must not: scrape the Site without permission; probe or bypass security; reverse engineer the Tool except as allowed by law; impersonate others; upload malware; use the service to compete with us by reselling raw access; or use automated means to create accounts or send spam.
Privacy
Use of the Site is also governed by our Privacy Policy. The service is hosted on infrastructure that may process data outside Israel (including the United States). By using the Site you agree to that processing.
Availability and disclaimer
The Site is provided “as is”. We may modify, interrupt, or discontinue features. We do not warrant uninterrupted or error-free translation. To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising from the Site is limited to the amount you paid us in the three months before the claim. We are not liable for indirect, consequential, or lost-profit damages. Some jurisdictions do not allow these limits.
Governing law
These Terms are governed by the laws of Israel. Courts of Israel have exclusive jurisdiction, except that disputes may first go to informal negotiation for 30 days, then to arbitration at the International Commercial Arbitration Court under the European Arbitration Chamber, one arbitrator, seat Tel Aviv, language English, unless a Party seeks injunctive or IP relief in court.
Consumer cancellation rights under the Israeli Consumer Protection Law, 1981, and the Consumer Protection Regulations (Cancellation of a Transaction), 2010, apply where required.
